An LLC (limited liability company) is a legal business entity that separates the owner's personal money from the company's debts and contracts. For founders in Arab countries, the real question is US LLC vs local LLC: a company formed in a US state such as Wyoming, or a company registered at home in Saudi Arabia, the UAE, Egypt or Morocco. Both are limited liability companies. They differ in where they are registered, which tax authority they report to, which banks they open with and which payment platforms accept them.
This page defines the term and gives you a decision table. For the full formation process, read the guide on how to form a US LLC from an Arab country.
What does "limited liability" mean in an LLC?
Limited liability in an LLC means the owners, called members, are not personally responsible for the company's debts. If the company owes money or loses a lawsuit, creditors claim company assets, not your house, car or personal savings.
An LLC sits between a sole proprietorship and a corporation. A sole proprietor and the business are one person in law, so business debts are personal debts. A corporation separates the owners fully but adds directors, shareholder meetings and, in the US, its own corporate income tax. An LLC gives you the separation of a corporation with fewer formalities.
Every US LLC has three basic documents and roles:
- Articles of Organization. The short public filing that creates the company with the state. The Wyoming state filing fee is $100(Source: Wyoming Secretary of State), paid to the Wyoming Secretary of State.
- Operating agreement. The private contract between the members that sets ownership, profit shares and who manages the company.
- Registered agent. A person or company with an address in the state that receives official mail and legal notices for the LLC.
The protection has limits. It does not cover debts you guarantee personally, and it weakens if you mix personal and company money in one account. Keep a separate business bank account from day one.
How is a US LLC different from a local LLC in an Arab country?
A US LLC is created under the law of a US state and reports to the IRS. A local LLC is created under your own country's companies law and reports to your national tax authority. The ownership idea is the same, the rules around it are not.
At home, a limited liability company is registered with the national commercial registry, such as the Ministry of Commerce in Saudi Arabia, and files tax or zakat returns with the local authority, such as ZATCA in Saudi Arabia, the Federal Tax Authority in the UAE or the Egyptian Tax Authority. A US LLC is registered with one US state and gets a federal tax number from the IRS.
| Point | US LLC (Wyoming) | Local LLC (your country) |
|---|---|---|
| Created under | Wyoming LLC law | Your country's companies law |
| Registered with | Wyoming Secretary of State | Your national commercial registry |
| Tax number | EIN from the IRS, no SSN needed | Local tax or zakat number |
| Yearly state filing | Annual report, $60 minimum | Set by your country |
| Bank account | US bank in US dollars | Local bank in local currency |
| Owner residency | Any country, no US visa needed | Rules differ by country |
| Payment platforms | Applies as a US company | Applies as a company in your country |
Non-residents get an EIN with IRS Form SS-4 without an SSN(Source: IRS Form SS-4 instructions). The Wyoming annual report costs $60 minimum per year(Source: Wyoming Secretary of State). The UAE adds a third option, the free zone company. Our US LLC vs UAE free zone company comparison covers that case in detail.
When does a US LLC make more sense than a local company?
A US LLC makes more sense when your customers pay online in US dollars, when you need Stripe or a US bank account, or when you sell on US platforms. A local company makes more sense when your customers, staff and contracts are mostly at home.
Use this decision table. Find the row that matches your main need.
| Your main need | Better fit | Why |
|---|---|---|
| Accept card payments on your website through Stripe | US LLC | Stripe accepts US companies with an EIN and a US bank account |
| Sell on Amazon US or run a Shopify store for global buyers | US LLC | US marketplaces and payment tools work with US entities |
| Invoice foreign clients in US dollars as a company | US LLC | A US bank account receives US dollar payments directly |
| Sign contracts with your own government or large local firms | Local LLC | Local tenders ask for a local commercial registration |
| Hire staff and rent an office in your country | Local LLC | Local labor and lease rules apply to local entities |
| Get a residence visa through your company in the UAE | Local or free zone company | A US LLC does not give a US visa or any residency |
As of October 2026, residents of many Arab countries cannot open a Stripe account in their own name. A US company is the legal route for those founders. The guide to Stripe and payment gateways for Arab founders lists the options when Stripe says no. Some founders hold both: a local company for local work and a US LLC for global sales. Each company then follows its own country's rules.
How is a US LLC taxed when the owner lives in an Arab country?
A US LLC with one non-resident owner is a disregarded entity for US federal tax by default. It pays no federal income tax at company level when it has no US effectively connected income, but it files Form 5472 every year.
The IRS sets the default rules on its LLC tax classification page. A single-member LLC is disregarded, which means the IRS looks through the company to the owner. An LLC with two or more members is treated as a partnership by default. Any LLC can ask to be taxed as a corporation with IRS Form 8832.
A foreign-owned single-member LLC files Form 5472 with a pro-forma Form 1120(Source: Treas. Reg. § 1.6038A-1; IRS instructions). It is an information return, not a tax payment, but it is mandatory. Read Form 5472 explained for LLC owners for the full filing details.
Wyoming has no state income tax and no franchise tax on LLCs(Source: Wyoming Department of Revenue). That covers the US side only. Your country of residence applies its own tax rules to you and your income.
The US LLC tax guide for non-residents from Arab countries covers both sides in detail. Check your home-country position with a local tax adviser before you start selling.
What does a US LLC need each year to stay in good standing?
A Wyoming LLC needs three things each year to stay in good standing: an annual report to the state, a registered agent with a Wyoming address, and Form 5472 to the IRS when the owner is foreign.
| Yearly obligation | Who receives it | Cost or rule |
|---|---|---|
| Annual report | Wyoming Secretary of State | $60 minimum per year |
| Registered agent | Your agent in Wyoming | Required for the full life of the LLC |
| Form 5472 with pro-forma Form 1120 | IRS | Required every year for a foreign-owned single-member LLC |
| BOI report | FinCEN | US-formed LLCs are exempt since 21 March 2025 |
US-formed LLCs are exempt from BOI reporting since 21 March 2025(Source: FinCEN interim final rule, 90 FR 13688), under the FinCEN interim final rule published in the Federal Register. Rules in this area change, so we track them and update this page.
Wyoming is the state we use because the yearly cost is low. Delaware charges LLCs a flat $300 annual tax(Source: 6 Del. Code § 18-1107), compared with Wyoming's $60 minimum annual report. If the annual report is not filed, the state can dissolve the company, and the LLC loses its liability protection and its standing with banks. The US LLC cost guide for Arab founders compares the year 1 and year 2 costs line by line, and the Arab LLC pricing page lists every item in our first-year price.
What are the main risks of a US LLC for founders in Arab countries?
The main risks of a US LLC are missed filings, mixed personal and company money, and payment accounts that get closed. Each risk has a clear cause and a clear prevention step.
Missed Form 5472. The penalty for a missing Form 5472 is $25,000 per form per year(Source: IRC § 6038A(d); IRS Form 5472 instructions), under IRC § 6038A and the IRS Form 5472 instructions. This applies even if the company earned nothing. Our Form 5472 filing service prepares and files it for you.
Mixed money. Paying personal bills from the company account, or company bills from your personal card, weakens the line between you and the LLC. Use the US business account for company money only, and move profits home as owner draws. The guide to opening a US bank account from an Arab country explains the documents banks ask for.
Closed payment accounts. Stripe and PayPal review accounts after approval too. Unclear business descriptions, sudden volume spikes and high refund rates trigger reviews. Read what to do if Stripe closes your US LLC account before you scale.
Wrong expectations. A US LLC is not a way to avoid tax at home, and it gives no US visa or residency. No one can promise you bank, Stripe or PayPal approval. The bank or the platform decides.
How do you form a US LLC from an Arab country?
You form a US LLC from an Arab country fully online in four steps: choose the state, file the Articles of Organization, get the EIN from the IRS, and apply for a US bank account. You do not need to travel to the US.
The steps in order:
- Choose the state. Wyoming fits most non-resident founders because of its low yearly cost and no state income tax.
- File the Articles of Organization. The filing names the LLC and its registered agent. The state approves the company.
- Get the EIN. The IRS issues the federal tax number through Form SS-4, without an SSN.
- Open the bank account, then apply for Stripe. The bank and Stripe review your company file and decide.
You need a valid passport, your current address, three name options and a short description of your business activity. The list of documents you need to form a US LLC covers each item, with no notarized or translated papers.
The Arab LLC formation service handles the filing, the registered agent for year one, the EIN, the operating agreement and help with your bank and Stripe applications. The price is $397 service + $100 Wyoming state fee = $497 first year. If you are not sure yet whether a US LLC or a local company fits your business, talk to the Arab LLC team and describe your customers and payment needs.
